General Terms and Conditions

1. Scope
These General Terms and Conditions (GTC) apply to all services and products offered or performed by labor team ag or its subcontractors (LT), in particular for medical services in the field of laboratory medical analyses and pathology (Laboratory Services). They apply to every contractual agreement between LT on the one hand, and the customer on the other. The customer is considered to be the party commissioning the analysis (patients as well as medical and non-medical professionals and institutions). If the customer places an order on behalf of a patient (e.g., in the context of direct or indirect representation), these GTC apply both to the legal relationship between LT and the ordering party and to the legal relationship between LT and the patient.

Written agreements individually made between the customer and LT take precedence over these GTC in the event of a conflict. Likewise, LT's privacy policy (available at www.laborteam.ch/de/datenschutz) takes precedence over these GTC in the event of a conflict. These GTC take precedence over any general terms and conditions of the customer.

By placing the order, the customer expressly accepts the terms and conditions as an integral part of the contract.

 

2. Order placement
The placement of an order by the customer is generally carried out in writing using an order form, which is transmitted by mail, courier, or fax, or electronically (e.g., via OnlineRequest, LabHub, or API), provided the customer has the corresponding access. LT is not obligated to verify the completeness and accuracy of the data provided by the customer. LT may decline to accept orders at its own discretion.

If the customer places an order on behalf of a patient, they thereby express the patient’s consent to the placing of the order and to the processing of the data necessary for order fulfillment, as well as agreement to these terms and conditions. Furthermore, the customer confirms that they have informed and advised the patient about the content of the order, if necessary.

The proper collection, packaging, labeling, and transmission of the sample to LT is carried out under the customer's responsibility, risk, and expense. The customer is particularly responsible for ensuring that each order can be clearly assigned to the samples collected. LT assumes no responsibility or liability for any incorrect labeling of a sample by the customer. The customer is also responsible for transporting the sample to LT, unless LT agrees to take over transport in mutual agreement with the customer. From the moment LT actually receives the sample until the delivery of the results, LT assumes responsibility for the sample.

 

3. Execution of laboratory services
LT provides the laboratory services commissioned by the customer in accordance with current scientific and medical knowledge as well as the standards customary in Switzerland, and delivers findings that constitute a reliable basis for medical diagnosis and therapy.

The processing time for individual laboratory services depends on their type and scope. Any urgent orders and special services will be carried out for an additional fee.

LT is entitled to engage qualified third parties for the laboratory services or to subcontract such services to qualified third parties. Furthermore, LT may commission comparative analyses from third parties at its own expense.

The customer can be commissioned to provide services for LT by mutual agreement, particularly in the field of preanalytics.

 

4. Transmission of Findings / Sample Storage
The transmission of findings is carried out to the client as well as optionally to the patient; it can be done electronically (in HL7 format and/or PDF), by telephone, fax, or mail.

When using multiple transmission methods, the report transmitted by post is decisive in the event of discrepancies, or, if no transmission by post takes place, the report transmitted electronically as a PDF. In the case of an agreed electronic transmission of reports, it is the customer's responsibility to ensure that the transmitted data can be received by their practice or hospital information system and is displayed there in an up-to-date, complete, and correct manner. LT assumes no responsibility in this context.

The interpretation of findings is fundamentally the responsibility of the customer; LT can provide advice to the customer on laboratory matters upon request (best efforts).

LT is not obligated to retain the analyzed samples after the analysis and the transmission of findings.

 

5. Compensation and Invoicing
Unless otherwise agreed, the determination of remuneration and invoicing for laboratory services are carried out based on the currently valid analysis list issued by the Federal Department of Home Affairs (EDI) or, if applicable, according to TARDOC. If no tariff exists, the remuneration will be determined by LT on a case-by-case basis (e.g., based on actual effort). Additional charges may apply for special sample treatments or emergencies. Should LT's services be subject to value-added tax, the stated prices are understood as excluding VAT.

Invoicing is primarily directed to the patient or their insurer, provided this is stipulated by law or regulations. In all other cases, invoicing is directed to the client, unless an explicit deviation has been agreed upon in an individual case. The respective invoice recipient is the debtor of the payment.

LT may, at its discretion, require advance payment for its laboratory services. In all other cases, LT issues an invoice for the laboratory services. The invoice amount is payable to LT within 30 days from the invoice date. Thereafter, the debtor of the payment is automatically in default, and LT is entitled to charge default interest of 5% p.a., as well as a reminder fee of CHF 20 for the second reminder and a reminder fee of CHF 30 for the third reminder. The delinquent debtor must compensate LT for any additional collection expenses incurred.

LT may engage third parties for debt collection at the expense of the debtor of the remuneration or assign claims against the debtor of the remuneration to third parties.

By placing the order, the customer confirms that they have informed the debtor of the payment about the invoicing procedures and obtained their consent for this.

 

6. Professional Secrecy and Data Protection
The customer and LT shall maintain confidentiality and comply with the provisions of the data protection law at all times.

LT collects from patients the data necessary for the execution and billing of laboratory services, as well as for fulfilling any legal obligations (e.g., cancer registry, infectious diseases). This includes, in particular: name, first name, gender, date of birth, address, telephone number, email address, language, reason for treatment, clinical details, medication, findings and diagnoses, insurer, insurance number, client, and order number.

LT collects the following from the customer (who is not also the patient): customer number, company (if applicable), name, first name, title and authorizations, address, phone number, email address, and language.

LT occasionally uses customers' (personal) data (in particular, name, email, and correspondence address) as part of email advertising (newsletter). The use of this data for advertising purposes can be objected to at any time by email to info@team-w.ch, in writing to labor team ag, Blumeneggstrasse 55, CH-9403 Goldach, or via the corresponding unsubscribe link in the newsletter.

By placing the order, the customer assures that the explicit consent for the aforementioned data processing by the concerned patient is in place. In the field of genetic testing within the meaning of the GUMG (Genetic Testing Act), the customer further assures that the required counseling and written consent of the patient for the testing have been obtained. LT is therefore authorized to share patient and customer data within LT as well as with involved third parties, provided and to the extent that, in LT's reasonable discretion, this is necessary for the purpose of order fulfillment (in particular, for the provision of laboratory services and collection of payments). The customer has access to the data concerning those patients for whom they have submitted orders to LT.

 

7. Permits and Liability, etc.
The customer and LT each ensure that they possess all necessary approvals.

The customer and LT fulfill their obligations in accordance with applicable law, to the best of their knowledge and belief, and with due regard for the legally required and professionally customary diligence.

To the extent permitted by law, any liability of LT for slight and moderate negligence, as well as for indirect and consequential damages to the customer or damages to third parties, is excluded.

The customer and LT each provide their services exclusively in their own name, on their own account, under their own responsibility, and at their own risk.

 

8. Final Provisions
In the event of discrepancies between the language versions of the General Terms and Conditions (GTC), only the German version shall be authoritative. Any deviations from these GTC require written form.

Should any parts of these Terms and Conditions be invalid or unenforceable, the validity of the remaining provisions shall not be affected.

These terms and conditions (AGB) may be changed by LT at any time. The changes shall apply from the publication of the new AGB on LT's website (www.laborteam.ch/en/terms) and upon the first subsequent placement of an order with LT.

 

9. Applicable Law and Jurisdiction
Swiss law is applicable to the contractual relationship between LT and the customer, excluding international treaties. The exclusive place of jurisdiction is Goldach SG or, alternatively, the residence/seat of the defendant party.
